While we conduct Due Diligence (DD) we run a market validation program that mirrors a commercialized product experience to understand market demand and unit economics.
The operational dating happens during the validation. If we are going to get married, we should both understand what it's like to work together. If things go well - we move forward, if things fall apart - we go our separate ways.

The terms are performance based including royalties and a meaningful equity stake for current shareholders in the new company (up to 50%). We keep it simple and ensure there's an upside for all founders, investors and shareholders.
Companies with some market validation and a strong intellectual property portfolio. We prefer companies with SaaS models, not B2B or software necessarily, but solutions that work for 1 as well as they do for 100 million.
A prepared Due Diligence package including all agreements (including investments), an up to date captable, and any details on any patents, trademarks or copyrights.
